1. Introduction

Welcome to  an AI-powered creative platform that transforms ordinary product photos into world-class, campaign-grade imagery and cinematic video content.
By accessing or using SCENE4’s services, you (“User”, “you”, “your”) agree to these Terms and Conditions (“Terms”), our [Privacy Policy], and any other documents referenced herein (together, the “Agreement”).
If you do not agree, please stop using our Services immediately.

2. Services and Availability

SCENE4 continually improves and updates its technology. The Services, algorithms, styles, and features may change at any time without notice.
We do not guarantee uninterrupted availability, error-free operation, or that results will meet your expectations.
All Services and outputs (“Assets”) are provided “as is”, without warranties of any kind.

3. Eligibility and Account

• You must be at least 18 years old to use SCENE4.

• Each account is for a single individual or legal entity.

• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

• SCENE4 may suspend or terminate access if you breach these Terms or applicable laws.

4. Your Content and Generated Assets

4.1 Ownership and Copyright

Subscribers:
If you hold an active paid subscription, you own the copyright and full commercial usage rights to all images, videos, and other assets (“Assets”) generated through SCENE4 while your subscription is active. You may use these Assets freely for commercial, promotional, or personal purposes, including marketing campaigns, advertisements, websites, and social media content.

Free Trial & Referral Users:
Assets generated during a free trial period or using referral credits remain the intellectual property of SCENE4. You may use them for personal, educational, or preview purposes only. SCENE4 retains all commercial usage rights and ownership over such Assets.

If you upgrade to a paid subscription, ownership of newly generated Assets will transfer to you under the same commercial terms as paid subscribers.

4.2 License to SCENE4

By using the Services, you grant SCENE4 a worldwide, perpetual, non-exclusive, royalty-free, sublicensable license to use, reproduce, display, and distribute your uploaded content and generated Assets for the purposes of:

• improving and training SCENE4’s AI models and algorithms;

• showcasing, marketing, or demonstrating the platform’s capabilities (e.g., in galleries, case studies, or advertising).

This license continues even after account termination and applies regardless of subscription tier, except where otherwise required by law.

4.3 Privacy and Visibility

• All generated Assets are private by default.

• If SCENE4 introduces public galleries or community features in the future, you will be notified and given the option to opt in.

• You are solely responsible for ensuring that any content you upload or generate does not infringe copyright, trademark, or privacy rights of any third party.

5. Use Restrictions

You agree not to:

• upload, share, or generate content that is pornographic, violent, hateful, discriminatory, or otherwise illegal;

• use the Services to deceive, defraud, or impersonate others;

• attempt to reverse-engineer, copy, or resell the Services;

• use automated systems or scripts to access the platform without written permission;

• violate intellectual-property, privacy, or publicity rights of any person.

Violation may result in suspension or permanent termination without notice.

6. Payments, Refunds, and Cancellations

6.1 Payment Processing

Payments are handled securely via Stripe. Stripe’s terms govern all payment processing. SCENE4 does not store full payment information.

6.2 Refund Policy

SCENE4 provides digital subscription services. Refunds are limited and only considered for verified technical issues that prevent access to the Service despite good-faith efforts to resolve them.
Refund requests must:

• be submitted in writing to support@scene4.ai within 7 days of the charge date;

• include the registered account email, charge details, and a description of the issue.

Refunds will not be issued for:

• dissatisfaction with features or performance;

• unused credits or partial use;

• failure to cancel before renewal;

• unmet expectations or feature limitations;

• downgrades or business-need changes.

SCENE4 reserves the right to deny refund requests that fall outside this policy.

6.3 Cancellation

You may cancel anytime via your account settings.
Access continues until the end of the billing cycle; no refunds or prorations apply.
Failed payments may lead to downgrade to a limited-access free tier after retry attempts.

7. Intellectual Property

All trademarks, designs, interfaces, and proprietary technology of SCENE4 AI Ltd are our exclusive property.
You receive a limited, non-transferable, revocable license to use the Services for lawful purposes only.
You may not use SCENE4’s trademarks, brand assets, or content except with prior written consent.

8. Data Protection and Privacy

SCENE4 AI Ltd is the data controller for all personal data collected through the platform.
We comply with applicable data-protection laws, including the EU GDPR and Hong Kong’s PDPO.
We process data only to provide and improve our Services.

9. Indemnity and Limitation of Liability

You agree to indemnify and hold SCENE4 AI Ltd, its officers, employees, and affiliates harmless from any claims, damages, or expenses arising from:

• your use of the Services or Assets;

• your breach of these Terms;

• your violation of any law or third-party rights.

To the maximum extent permitted by law:

• SCENE4’s total liability shall not exceed the fees you paid in the 12 months preceding the claim.

• SCENE4 is not liable for indirect, incidental, consequential, or special damages, including loss of data, revenue, or goodwill.

10. Dispute Resolution and Governing Law

10.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.

10.2 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its Expedited Procedures in force at the time of the dispute.

• Language: English

• Number of arbitrators: one, mutually appointed

The arbitral award is final and binding and may be enforced in any competent jurisdiction.
Both parties waive the right to trial by court or jury, except for injunctive relief pending arbitration.

11. Termination

SCENE4 may suspend or terminate your account for any reason, including violation of these Terms or unlawful activity.
Upon termination, your right to use the Services ends immediately, but sections relating to IP, liability, and arbitration will survive.

12. Force Majeure

SCENE4 is not responsible for any failure or delay caused by circumstances beyond its reasonable control, including natural disasters, war, or network outages.

13. Updates to These Terms

We may update these Terms periodically.
The latest version will always be posted on scene4.ai/terms/
Continued use of the Service after updates constitutes acceptance of the revised Terms.
